3. Acceptance of these Terms

4. Scope of Services

Individual learning success depends on factors outside the Company's control, including but not limited to attendance, motivation, practice, previous knowledge and personal commitment.

5. Changes to Services

The Company reserves the right to:

  • change lesson content;

  • update teaching materials;

  • introduce new services;

  • discontinue services;

  • replace teachers;

  • modify lesson duration where reasonably necessary;

  • improve the learning platform.

Such modifications shall not constitute a breach of contract.

6. Student Accounts

Students may be required to create an account.

The Student is solely responsible for:

  • maintaining confidentiality of login credentials;

  • all activities conducted through the account;

  • providing accurate information;

  • immediately notifying the Company of unauthorized access.

Accounts are personal.

Sharing accounts with other persons is strictly prohibited.

The Company may suspend or permanently terminate accounts that violate these Terms.

7. Booking of Lessons

A booking becomes legally binding only after:

  • successful payment,

  • confirmation by the Company where applicable.

The Company reserves the right to reject bookings at its sole discretion.

8. Prices

All prices displayed on the Website are subject to change without prior notice.

Price changes shall not affect bookings already confirmed.

Any promotional pricing is temporary and may be withdrawn at any time.

Obvious pricing errors may be corrected by the Company even after publication.

If such an error occurs before confirmation of a booking, the Company may cancel the booking and offer the correct price.

9. Payment

  • subscriptions automatically renew unless cancelled before the next billing date;

  • the Student authorizes recurring payments;

  • cancellation prevents future renewals but does not affect payments already due.

13. Promotional Offers

Coupons, vouchers and promotional discounts:

  • cannot be exchanged for cash;

  • cannot be combined unless explicitly stated;

  • may expire without notice;

  • may be revoked in cases of fraud or misuse.

14. Right to Refuse Service

The Company reserves the absolute right to refuse or terminate Services where reasonably necessary, including but not limited to cases involving:

  • abusive behaviour;

  • harassment;

  • discrimination;

  • threats;

  • fraudulent activity;

  • payment fraud;

  • repeated disruption of lessons;

  • violation of these Terms;

  • illegal activities.

Where Services are terminated for these reasons, the Student shall not be entitled to a refund except where mandatory law requires otherwise.

15. Amendments

The Company may revise these Terms from time to time.

Updated Terms become effective immediately upon publication on the Website.

Continued use of the Services constitutes acceptance of the revised Terms.

Part 2 – Lessons, Attendance, Cancellations & Course Policies

16. Lesson Scheduling

Lessons shall be scheduled through the Company's booking system or any approved scheduling platform designated by the Company.

Lesson times are confirmed only after acceptance by the Company.

The Company reserves the right to reject, reschedule or modify lesson requests where reasonably necessary.

Students are responsible for ensuring that all selected lesson times are correct.

17. Time Zones

All lesson times displayed on the Website or booking platform are based on the time zone selected by the Student or the booking system.

The Company shall not be responsible for missed lessons resulting from incorrect time zone settings or misunderstandings regarding local time differences.

18. Attendance

Students are expected to attend every lesson punctually.

Lessons begin at the scheduled start time regardless of whether the Student is present.

The Company is under no obligation to extend lessons due to late arrival.

19. Late Arrival

If a Student joins a lesson late:

  • the lesson shall end at the originally scheduled end time;

  • no additional time will be added;

  • no refund, credit or compensation shall be granted.

If a Student is more than 15 minutes late, the teacher may consider the lesson abandoned.

20. Student No-Show

A lesson shall be considered a "No-Show" if the Student:

  • does not attend;

  • cannot be reached;

  • fails to join within 15 minutes;

  • leaves before meaningful participation has taken place.

No-Show lessons are considered fully completed.

No refund, replacement lesson or credit will be issued.

21. Lesson Cancellation by Student

Private lessons may be cancelled without charge if cancellation is received at least 24 hours before the scheduled lesson.

Cancellation requests received less than 24 hours before the lesson may be declined.

Late cancellations are treated as completed lessons.

22. Rescheduling

Rescheduling requests are subject to teacher availability.

The Company does not guarantee that an alternative appointment will be available.

Repeated rescheduling may be refused.

23. Emergency Exceptions

In exceptional circumstances such as serious illness, accidents or other unforeseen emergencies, the Company may, at its sole discretion, offer:

  • one replacement lesson;

  • lesson credit;

  • or another reasonable solution.

Such exceptions are voluntary and do not establish any entitlement for future cases.

24. Teacher Cancellation

If a teacher cancels a lesson, the Company shall provide one of the following remedies:

  • a replacement lesson;

  • rescheduling;

  • lesson credit;

  • or a full refund for the cancelled lesson.

The choice of remedy shall be determined by the Company unless otherwise required by applicable law.

25. Teacher Delay

If a teacher is delayed, reasonable efforts shall be made to provide the full lesson duration.

Minor delays do not entitle the Student to compensation.

26. Technical Requirements

Students are responsible for maintaining adequate:

  • internet connection;

  • microphone;

  • speakers or headphones;

  • webcam where required;

  • compatible software;

  • suitable learning environment.

27. Technical Problems on the Student's Side

The Company shall not be responsible for interruptions caused by:

  • internet failures;

  • power outages;

  • hardware problems;

  • software issues;

  • browser incompatibility;

  • insufficient bandwidth;

  • third-party platform failures affecting the Student.

Lessons interrupted for these reasons are generally considered completed.

28. Technical Problems on the Company's Side

Where technical problems are solely caused by the Company and substantially prevent delivery of the lesson, the Company shall provide an appropriate remedy, including rescheduling, lesson credit or refund.

29. Group Courses

Group courses require active participation from multiple students.

The Company reserves the right to:

  • change class size;

  • combine groups;

  • change teachers;

  • modify schedules;

  • postpone start dates;

  • cancel courses with insufficient enrolment.

Where a course is cancelled before it begins, Students will receive either a refund or course credit.

30. Minimum Participation

The Company may establish minimum enrolment requirements for group courses.

If the required number of participants is not reached, the Company may:

  • postpone the course;

  • offer an alternative schedule;

  • convert the course into a smaller class;

  • provide lesson credit;

  • issue a refund.

31. Private Lesson Packages

Lesson packages remain valid for the validity period stated during purchase.

Unused lessons automatically expire after the expiration date.

Expired lessons cannot be reinstated.

No refunds shall be granted for expired lesson credits.

32. Course Validity

Unless otherwise stated:

  • lesson packages remain valid for twelve (12) months;

  • memberships remain valid for their purchased duration;

  • promotional packages may have shorter validity periods.

33. Intensive Courses

Intensive courses require continuous attendance.

Missed classes are not guaranteed to be repeated.

The Company is not obligated to provide individual catch-up lessons.

34. Trial Lessons

Trial lessons are intended solely for evaluating the Company's teaching services.

The Company reserves the right to limit the number of trial lessons per person.

Repeated attempts to obtain multiple trial lessons under different accounts may result in permanent suspension.

35. Homework

Teachers may assign homework at their discretion.

Completion of homework remains the sole responsibility of the Student.

Failure to complete homework shall not constitute a deficiency in the Company's Services.

36. Learning Progress

Learning speed varies significantly between individuals.

The Company makes no guarantee regarding:

  • examination results;

  • certificates;

  • CEFR level achievement;

  • fluency;

  • pronunciation;

  • vocabulary acquisition.

Educational outcomes depend largely upon the Student's own effort and commitment.

37. Recording of Lessons

Students may not record any lesson, whether in whole or in part, without the prior written consent of the Company.

Unauthorized recordings may result in immediate termination of Services.

38. Classroom Behaviour

Students shall conduct themselves respectfully at all times.

The following behaviour is prohibited:

  • abusive language;

  • harassment;

  • discrimination;

  • hate speech;

  • threats;

  • disruptive behaviour;

  • inappropriate content;

  • spam;

  • commercial advertising;

  • illegal activities.

The Company may immediately remove participants violating these rules.

39. Right to Remove Participants

The Company may suspend or permanently terminate participation where continued access is considered harmful to teachers, other students or the Company.

In such cases, no refund shall be due except where mandatory law requires otherwise.

40. Intellectual Property

Unless otherwise expressly stated, all content provided by the Company remains the exclusive intellectual property of LINGUADEUTSCH COACHING - FZCO.

This includes, but is not limited to:

  • lesson materials;

  • presentations;

  • worksheets;

  • textbooks created by the Company;

  • PDFs;

  • quizzes;

  • examinations;

  • videos;

  • audio recordings;

  • vocabulary lists;

  • grammar explanations;

  • exercises;

  • lesson plans;

  • teaching methods;

  • software;

  • website design;

  • logos;

  • graphics;

  • trademarks;

  • downloadable resources;

  • online courses;

  • AI-generated learning materials created by the Company.

No ownership rights are transferred to the Student.

41. Copyright Restrictions

Students receive a limited, non-exclusive, non-transferable, revocable license to use Company materials solely for their own personal educational purposes.

Students shall not:

  • copy;

  • reproduce;

  • modify;

  • publish;

  • upload;

  • distribute;

  • sell;

  • sublicense;

  • translate for commercial use;

  • share with third parties;

  • make materials publicly available.

42. Downloadable Materials

Materials provided for download remain the Company's property.

Downloading does not transfer ownership.

Students may store materials for personal learning only.

43. Sharing of Learning Materials

Students may not provide Company materials to:

  • friends;

  • family members;

  • colleagues;

  • schools;

  • companies;

  • social media;

  • AI systems for redistribution;

  • online communities.

Unauthorized sharing constitutes a material breach of these Terms.

44. Recording of Lessons

Lessons may not be recorded, livestreamed, broadcast or otherwise reproduced without prior written authorization.

This prohibition includes:

  • screen recording;

  • audio recording;

  • video recording;

  • AI transcription services;

  • automated note-taking software;

  • streaming platforms.

45. Artificial Intelligence

Students may not use Company materials for the purpose of:

  • training artificial intelligence systems;

  • creating commercial language models;

  • building competing educational products;

  • generating commercial educational databases.

46. Trademarks

The Company name, logo, branding, slogans and trademarks remain the exclusive property of the Company.

Unauthorized use is prohibited.

47. User Content

Where Students submit:

  • homework;

  • essays;

  • assignments;

  • feedback;

  • forum posts;

  • uploaded documents;

they confirm that they possess all necessary rights to submit such content.

The Student grants the Company a non-exclusive license to use submitted work solely for providing educational services.

48. Confidentiality

The Company respects confidential information shared during lessons.

Students likewise agree not to disclose confidential business information obtained through participation in Company services.

49. Acceptable Use

Students agree to use the Website and Services only for lawful purposes.

Students shall not:

  • hack;

  • attempt unauthorized access;

  • distribute malware;

  • interfere with Website operation;

  • impersonate others;

  • create fake accounts;

  • circumvent payment systems;

  • exploit technical vulnerabilities;

  • reverse engineer Company software.

50. Academic Integrity

Students remain solely responsible for work submitted to educational institutions.

The Company does not participate in academic fraud, plagiarism or examination misconduct.

51. No Professional Advice

Educational Services are provided solely for language learning.

Nothing provided by the Company constitutes:

  • legal advice;

  • immigration advice;

  • visa consulting;

  • employment consulting;

  • tax advice;

  • medical advice;

  • psychological counseling.

Students should seek qualified professionals where appropriate.

52. Third-Party Platforms

Lessons may be delivered using third-party platforms such as:

  • Zoom;

  • Google Meet;

  • Microsoft Teams;

  • Calendly;

  • Stripe;

  • PayPal;

  • Moodle;

  • other learning systems.

The Company is not responsible for outages, interruptions or changes caused by such providers.

53. External Links

The Website may contain links to external websites.

The Company has no control over external content and accepts no responsibility for:

  • accuracy;

  • legality;

  • availability;

  • security;

  • privacy practices.

54. Website Availability

The Company aims to provide continuous Website access.

However, uninterrupted availability cannot be guaranteed.

  • loss of opportunities;

  • loss of data;

  • emotional distress;

  • reputational damage.

Nothing in these Terms excludes liability where exclusion is prohibited by mandatory law.

57. Student Responsibility

Students acknowledge that successful language learning depends primarily upon:

  • regular attendance;

  • independent study;

  • homework completion;

  • active participation;

  • individual learning ability.

The Company cannot guarantee any specific outcome.

58. Indemnification

Students agree to indemnify and hold harmless the Company, its directors, employees, teachers and contractors from any claims, damages, liabilities, costs and legal expenses arising from:

  • breach of these Terms;

  • unlawful conduct;

  • infringement of third-party rights.

59. Force Majeure

The Company shall not be liable for delays or failures caused by events beyond its reasonable control, including but not limited to:

The Student agrees to contact the Company first and provide a reasonable opportunity to resolve the matter.

Nothing in this clause limits any rights that cannot legally be excluded under applicable law.

69. Chargebacks

Students agree not to initiate a payment dispute or chargeback without first contacting the Company to seek a reasonable resolution.

If a chargeback is initiated while Services have already been provided, the Company reserves the right to:

  • suspend access;

  • terminate the Student's account;

  • recover unpaid amounts through lawful means;

  • refuse future bookings.

This clause shall not affect any statutory rights to dispute unauthorized or fraudulent transactions.

70. Assignment

The Company may assign or transfer its rights and obligations under these Terms to any affiliated company, successor or purchaser without prior notice.

Students may not assign or transfer their rights or obligations without the Company's prior written consent.

71. Independent Contractors

Teachers, tutors and contractors engaged by the Company act as independent service providers unless otherwise specified.

Nothing in these Terms creates an employment relationship, partnership or joint venture between the Student and the Company.

72. Severability

If any provision of these Terms is found to be invalid, illegal or unenforceable, the remaining provisions shall continue in full force and effect.

The invalid provision shall, where legally possible, be replaced by a valid provision that most closely reflects the original commercial intent.

73. Waiver

Failure by the Company to enforce any provision of these Terms shall not constitute a waiver of that provision or any other right.

Any waiver shall be effective only if made expressly in writing.

74. Entire Agreement

These Terms, together with the Privacy Policy and Refund Policy, constitute the entire agreement between the Company and the Student regarding the Services.

They supersede all previous oral or written agreements relating to the same subject matter.

75. Language

These Terms may be translated into other languages for convenience.

In the event of any inconsistency or conflict between language versions, the English version shall prevail unless mandatory law requires otherwise.

76. Changes to these Terms

Continued use of the Services after publication constitutes acceptance of the revised Terms.

79. Acceptance

By purchasing any Service, booking a lesson, creating an account or otherwise using the Website, the Student confirms that they have read, understood and agreed to these Terms and Conditions.

REFUND POLICY

This Refund Policy governs all purchases made through LINGUADEUTSCH COACHING - FZCO ("Company", "we", "our", or "us"). By purchasing any of our Services, you agree to this Refund Policy.

1. General Policy

The Company is committed to providing high-quality educational services.

Because our Services involve scheduled teaching time, digital content and immediate reservation of instructor availability, refunds are subject to the conditions set out in this Policy.

Nothing in this Policy limits any mandatory consumer rights that cannot legally be excluded.

2. Private Lessons

Private lessons may be cancelled or rescheduled free of charge if the request is received at least 24 hours before the scheduled lesson.

Requests received less than 24 hours before the scheduled lesson are considered late cancellations.

Late cancellations are not eligible for a refund.

3. No-Show Policy

If a Student:

  • fails to attend;

  • arrives more than 15 minutes late;

  • leaves the lesson early without completing the session;

  • cannot be contacted at the scheduled lesson time;

the lesson shall be considered completed.

No refund, replacement lesson or account credit will be provided.

4. Lesson Packages

Lesson packages are valid for the period specified at the time of purchase.

Unused lessons automatically expire at the end of their validity period.

Expired lessons cannot be restored.

Unused lesson credits are non-refundable after expiration.

5. Group Courses

Refund requests submitted before the official start of a group course may be considered in accordance with this Policy.

Once the first lesson of a group course has taken place, refunds are generally not available.

Students who voluntarily discontinue participation remain responsible for the full purchase price.

6. Intensive Courses

Intensive courses reserve teaching resources in advance.

Once the course has started, refunds are generally not available.

Missed classes are not refundable.

7. Digital Products

All sales of digital products are final.

This includes:

  • downloadable worksheets;

  • PDF materials;

  • online courses;

  • recorded lessons;

  • vocabulary collections;

  • grammar guides;

  • digital memberships;

  • learning resources.

Once access has been granted or the product has been delivered, no refund will be issued unless required by applicable law.

8. Subscription Services

Subscription payments are billed in advance.

Students may cancel future renewals at any time before the next billing cycle.

Cancellation prevents future charges only.

Payments already processed are generally non-refundable.

9. Promotional Purchases

Products or Services purchased:

  • during sales;

  • with discount codes;

  • using promotional offers;

  • as special packages;

are generally non-refundable unless mandatory law provides otherwise.

10. Teacher Cancellation

If the Company cancels a lesson, Students will receive one of the following remedies:

  • replacement lesson;

  • refund for the cancelled lesson.

The Company will determine the most appropriate remedy unless applicable law requires otherwise.

11. Technical Issues

Technical problems caused by the Student, including internet connection, hardware, software or device issues, do not qualify for a refund.

Where the Company is solely responsible for a technical failure that prevents delivery of a lesson, an appropriate remedy will be offered.

12. Duplicate Payments

If a duplicate payment has been made due to a processing error, the duplicate amount will be refunded after verification.

13. Fraud Prevention

The Company reserves the right to refuse refunds where there is reasonable evidence of:

  • payment fraud;

  • abuse of refund requests;

  • misuse of promotional offers;

  • repeated chargebacks;

  • dishonest conduct.

14. Chargebacks

Students agree to contact the Company before initiating a chargeback or payment dispute.

If a chargeback is initiated after Services have been provided, the Company reserves the right to:

  • suspend the Student account;

  • terminate access to Services;

  • recover outstanding amounts through lawful means;

  • deny future purchases.

This provision does not affect statutory rights regarding unauthorized or fraudulent transactions.

15. Exceptional Circumstances

in exceptional situations such as:
